Terms & Conditions

1. Introduction & Acceptance

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("you", "Customer") and Corevibe Technology Private Limited, a company incorporated under the Companies Act, 2013, India ("Corevibe", "we", "us", "our"). HypeNest is a product operated by Corevibe Technology Pvt. Ltd.

These Terms govern your access to and use of our websites, software products, SaaS platforms (including Hypenest), APIs, mobile applications, and professional services (collectively, the “Services”).

By accessing or using the Services, creating an account, or accepting these Terms electronically, you agree to be bound by them. If you do not agree, you must not use the Services.

2. Scope of Services

Corevibe operates as both a product-based and service-based technology company.

• SaaS products and platforms (including Hypenest – Social Media Automation Platform)
• Custom software development & IT consulting
• Web, mobile, cloud, and product engineering services
• Automation testing and quality engineering

Specific deliverables, pricing, and timelines may be governed by separate proposals, order forms, or Statements of Work (SOWs), which shall prevail in case of conflict.

3. Accounts & Responsibilities

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining confidentiality of login credentials
• All activities performed under your account are your responsibility
• You must notify us immediately of any unauthorized use or security breach

4. Product Licensing & Usage

All software products are licensed, not sold. Subject to these Terms, Corevibe grants you a limited, non-exclusive, non-transferable, revocable license for internal business use only.

You shall not:

• Reverse engineer, decompile, or attempt to extract source code
• Resell, sublicense, or distribute without authorization
• Use Services for unlawful, abusive, or policy-violating purposes

5. User Content

You retain ownership of all content you upload or process using the Services. You grant Corevibe a limited, royalty-free license to process such content solely to provide and improve the Services.

You represent that you have all necessary rights, permissions, and lawful bases to provide such content.

6. Privacy & Data Protection

We process personal data in accordance with our Privacy Policy, applicable Indian laws (IT Act, 2000; DPDP Act, 2023), and where applicable, GDPR.

When acting as a processor on behalf of business clients, data handling is governed by our Data Processing Addendum (DPA).

7. Fees, Billing & Taxes

Fees are payable as specified in your order or subscription plan. All amounts are exclusive of applicable taxes unless stated otherwise.

Subscriptions renew automatically unless cancelled before the next billing cycle. Refunds are governed by applicable law or explicit written policy.

8. Suspension & Termination

We may suspend or terminate Services immediately for material breach, security risks, legal compliance, or third-party platform requirements.

Upon termination, access to Services will cease, and relevant obligations will survive as required.

9. Intellectual Property

All intellectual property rights in the Services, including software, designs, trademarks, and documentation, remain the exclusive property of Corevibe Technology Pvt. Ltd.

10. Disclaimer of Warranties

Services are provided on an “as is” and “as available” basis without warranties of any kind, except as mandated by applicable law.

11. Limitation of Liability

To the maximum extent permitted by law, Corevibe Technology Pvt. Ltd. shall not be liable for indirect, incidental, consequential, or loss-of-profit damages arising from use of the Services.

Aggregate liability shall not exceed fees paid in the twelve (12) months preceding the claim.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, and courts of Maharashtra shall have exclusive jurisdiction.
